Terms & Conditions

Using the service after any change to the Agreement constitutes acceptance of the updated terms. It is your responsibility to review these terms each time you use the service.

iQanoon is the service brand of iLegal Solutions Limited (“iLegal”, “we”, “us”, “our”), a legal consultancy firm registered under Innovation City, Ras Al Khaimah, UAE. iQanoon delivers bilingual legal services in Arabic and English, entirely online, powered by agentic AI systems, with every deliverable reviewed and signed off by a qualified lawyer. The AI carries the workload. The lawyer carries the responsibility.

iQanoon provides four categories of service, each described in §3 to §6 below. All services are subject to these Terms & Conditions, the Privacy Policy, and the Cookie Policy.

iQanoon does not represent clients before courts, arbitration panels, mediation proceedings, or any other formal adjudicative forum. Our services are strictly limited to drafting, review, advisory, and validation work as described in these terms.

AI Validation is the review of a single AI-generated legal document or a single AI-generated legal question-and-answer pair against the legal standards of your chosen jurisdiction. Validation is performed by registered, licensed legal professionals (affiliates) in each jurisdiction.

A validation includes review for legal accuracy and jurisdictional correctness, with corrections, flags, and recommendations returned with the validated output. Turnaround is from 24 hours and may extend to 72 hours for denser or more complex documents.

What AI Validation covers.

AI Validation covers documents and queries produced by any AI model — including ChatGPT, Claude, Gemini, or any other large language model. It is model-agnostic. Each submission is treated as a new and separate validation.

What AI Validation does not cover.

AI Validation does not cover documents intended for use in court, arbitration, mediation, or similar formal proceedings — including statements of claim, statements of defence, pleadings, witness statements, or hearing bundles. If you submit a document of this nature, we will notify you; no validation will be performed; the fee remains payable and non-refundable (§13); and we accept no liability in respect of such a submission.

AI Validation does not cover second reviews of work we have already completed, except where the issue was demonstrably our error. Every re-submission is a new submission and is charged accordingly.

If you submit a document that contains no legal content to validate (for example, a photograph, a spreadsheet, or non-legal material), the fee remains payable and non-refundable. We will confirm in writing that no legal content was found.

Non-legal submissions.

iQanoon strictly and exclusively validates documents or queries of a legal nature. The fee is triggered when you click submit. If you submit content that is not of a legal nature, whether by error or to test the service, the fee remains payable and non-refundable.

Document Review is a clause-by-clause review of any legal document against your commercial position and the applicable law of your chosen jurisdiction, returned with a redlined mark-up, a summary table of material deviations, recommended fallback positions, and commentary on what each proposed amendment protects or concedes.

The fixed fee per document covers the initial review and unlimited further review rounds on the same document until execution or abandonment of the negotiation, provided the matter remains within the scope and document-type category described at the time of engagement.

Document categories and fees.

Document Review is priced by document category and page tier. The applicable fee schedule is published on our website and forms part of these terms. Fees are quoted exclusive of VAT.

Scope limitation.

Document Review covers the document as submitted against the stated commercial position and applicable law. It does not constitute a full-matter review, an opinion on your specific transaction, or a review of any document not uploaded as part of the same submission. If a matter requires full-matter review, litigation support, or regulatory engagement, it falls within the bespoke work category (§7).

Document Creation is the preparation of a first draft of a legal document following an initial instructions call or written instruction intake, plus up to two rounds of client revisions, delivered in execution-ready form. Bilingual (English–Arabic) delivery is available at the bilingual rate.

What the fixed fee covers.

The fixed fee covers the initial draft, two revision rounds based on client feedback, and delivery in execution-ready format (PDF and DOCX). It does not cover further revisions beyond two rounds, changes in instruction scope, or translation into languages other than English and Arabic.

Scope limitation.

Document Creation produces standard-form documents drawn from our precedent bank. Bespoke drafting materially departing from standard templates, multi-jurisdictional structuring, or the production of legal opinions is bespoke work (§7) and is priced separately.

Advisory services cover written opinions on matters including corporate structuring, commercial arrangements, employment and HR matters, data protection and regulatory compliance, governance, and exit planning. Analysis services cover contract portfolio review, extraction of obligations and deadlines, risk mapping, version comparison, and bilingual verification.

Scope limitation.

Written advisory opinions produced by iQanoon are general written opinions on the matters described. They are not legal opinions on your specific transaction, circumstances, or dispute, and do not constitute legal advice in specific matters (see §16 on the distinction between validation/advisory and a legal opinion). Advisory work involving litigation, arbitration, regulatory applications, or formal proceedings falls within the bespoke work category (§7).

The following categories of work are excluded from our standard fixed fee schedule and are undertaken, if at all, on the basis of an agreed scope-based fee confirmed in writing before work commences:

• Contentious and dispute-related work, including litigation, arbitration, enforcement of judgments and awards, and settlement negotiations in contemplation of proceedings.
• Mergers and acquisitions, share and asset transfers, corporate restructurings, debt-to-equity conversions, and due diligence exercises.
• Regulatory applications, licensing, and interactions with governmental or supervisory authorities in any jurisdiction.
• Financing, security, and capital markets documentation.
• Bespoke drafting materially departing from our precedent bank, multi-jurisdictional structuring, and formal legal opinions.
• Any matter requiring engagement of local counsel, advocates with rights of audience, notarisation, legalisation, or official translation.
• Urgent instructions requiring completion outside business hours (which may attract an uplift of up to 50% on the applicable fee, agreed in advance).
• Documents exceeding 50 pages or containing cross-border regulatory, financing, or security elements (regardless of page count).

We will notify you in writing before any work is performed outside the fixed fee scope. We do not engage in representing clients before courts or formal adjudicative proceedings under any circumstances.

Standard page definition.

For page-count pricing, a standard page is a page of submitted content meeting all of the following:

• Font size of 12 points or larger throughout the document body.
• No more than 180 words per page on average across the document.
• A commonly readable format: PDF or DOCX. Other formats may be accepted at our discretion.

Schedules, annexures, and exhibits requiring substantive review count toward the page total; signature pages and boilerplate cover sheets do not.

Non-compliant documents.

If a submitted document uses a font smaller than 12 points, or its average word density exceeds 180 words per page, it will be treated as exceeding the tier’s page allowance. We may, after notifying you:

• request that you resubmit the document in a compliant format;
• apply a density surcharge reflecting the additional work; or
• re-price the engagement to the tier covering the effective page count.

We will notify you before proceeding and give you the option to resubmit or accept adjusted pricing. The turnaround clock pauses while we await your response. No refund is provided for delays caused by a non-compliant submission.

Corrupted, unreadable, or encrypted files.

You are responsible for submitting files that are valid, complete, and openable. If a submitted file is corrupted, password-protected (without the password provided), or otherwise cannot be processed:

• the turnaround clock pauses until a valid file is received;
• we will notify you and request a resubmission; and
• no refund is provided for delays caused by an inaccessible submission.

We may screen submitted files for viruses, malware, and file integrity before opening them, and may decline to open any file that fails screening or poses a security risk, requesting a resubmission.

Scope where work exceeds the excess threshold.

Where a document or matter requires work above the threshold covered by the applicable tier, we will notify you before proceeding and provide an estimate for the additional work. If you opt out, we will return our review up to that point with a note on what further work is required. No refund is provided where you opt out of additional work.

AI Validation — one-off

One-off AI validation is priced by document length: AED 499 (up to 10 pages), AED 999 (up to 15 pages), AED 1,999 (up to 25 pages), and AED 3,999 (up to 40 pages).

AI Validation — subscription

Monthly validation subscriptions include 3 validations per month: Starter at AED 999 (up to 10 pages each), Standard at AED 1,999 (up to 15 pages each), Extended at AED 3,999 (up to 25 pages each), and Comprehensive at AED 7,999 (up to 40 pages each). Annual subscriptions include 2 months free.

Document Review

Document Review is priced by document category and page tier as published in the fee schedule on our website, which forms part of these terms. Fees range from AED 1,499 to AED 5,999 per document depending on category and page count. Documents exceeding 50 pages, or containing cross-border regulatory or financing elements, are priced by written estimate.

Document Creation

Document Creation is priced per deliverable as published in the fee schedule on our website. Fees range from AED 499 (NDA) to AED 6,999 (shareholders’ agreement) for standard delivery, with bilingual rates published separately for each deliverable.

Legal Services Subscription Plans

Subscription plans for ongoing document review are available at three tiers — Essentials (up to 6 reviews/month), Growth (up to 12 reviews/month), and Enterprise (unlimited, by agreement) — with monthly fees varying by the page tier applicable to each review. Pricing is published on our website and forms part of these terms. Unused allowances do not roll over. Excess reviews are charged at applicable Part A rates less 20%.

Add-ons

Additional validations may be purchased as one-off or recurring add-ons, in any of the four document sizes. Add-on pricing follows the applicable one-off tier for the selected document size.

Bespoke work

Bespoke work outside the fixed fee schedule (§7) is undertaken on the basis of hourly rates or an agreed scope-based fee confirmed in writing before work commences. Hourly rates: Managing Partner — AED 2,500; Senior Counsel — AED 2,000; Associate — AED 1,500; Paralegal — AED 1,000. Hourly work is recorded in six-minute units and invoiced monthly with a narrative breakdown.

Fee revisions

We may revise our fee schedule on not less than 30 days’ written notice. Revisions do not affect engagements already opened or subscription periods already paid.

Services are provided for documents in English or Arabic. Bilingual (English–Arabic) submissions or deliverables incur an additional charge as stated in the applicable fee schedule. The language of your submission is confirmed during the submission process.

Language scope of our response. We work only in English and Arabic. Our response is limited to the language or languages of your submission. If you direct us to work on only one language of a bilingual document, the bilingual surcharge will not apply and our work will be limited to the language specified. We do not validate, review, or draft in any other language.

Single-document scope. Our engagement covers only the document submitted as part of that request. Related documents must be submitted separately or combined into a single file, with the page count calculated on the combined document.

AI Validation and Document Review services are currently operational in the United Arab Emirates, Egypt, and Jordan. Saudi Arabia and other MENA jurisdictions will be added as licensed affiliates are confirmed. Document Creation and Advisory services are available across all live jurisdictions and, for certain deliverables, on a multi-jurisdictional basis.

Services are only available where a licensed professional is operational in the selected jurisdiction. Where a selected jurisdiction is not yet live, we will notify you before accepting your submission or payment.

You are responsible for ensuring that any personally identifiable information (PII) is removed or redacted from your documents before submission. iQanoon processes submissions across AI systems and licensed professionals in multiple jurisdictions; you must not submit documents containing PII that you are not authorised to share across those environments.

By submitting a document, you confirm that you have removed or are authorised to share any personal information it contains, and that your submission does not infringe the rights of any third party. iQanoon accepts no responsibility for PII you choose to include despite this obligation.

Subscriptions are billed monthly or annually and are renewable until cancelled. Unused validations or reviews do not roll over into the following billing period. You may cancel at any time; cancellation takes effect at the end of the current billing period. Annual subscriptions include 2 months free and are billed annually in advance.

Payment methods & taxes.

All fees are quoted exclusive of VAT and credit card processing charges, which are added on top of the stated price. Payment is processed via Stripe, Network International, or other available methods. Fees for fixed-fee engagements are charged in advance per document, per deliverable, or per billing period.

Work starts on cleared funds.

Work begins only once payment has been received in cleared funds in our account. The turnaround clock starts from the moment cleared funds are received — not from the moment a request is submitted or a payment instruction is initiated. Requests submitted without payment will not be processed or assigned.

All payments are non-refundable.

All payments are non-refundable once made. This includes one-off fees, subscription fees (monthly and annual), add-on purchases, and bilingual surcharges. Once payment is received in cleared funds, no refund will be issued, whether or not work has commenced.

If you cancel a subscription, it remains active until the end of the current billing period; no refund is provided for the unused portion. Annual subscriptions are non-refundable once the billing period has begun.

This clause does not affect any non-waivable statutory rights you may have under applicable consumer-protection law.

iQanoon provides three access portals: a user portal for clients, an affiliate portal for licensed legal professionals, and an admin portal. You are responsible for keeping your account credentials secure and for all activity under your account. Access is granted at iQanoon’s discretion and may be suspended for misuse.

All submissions are handled under strict confidentiality and reviewed only by licensed legal professionals bound by professional privilege obligations. iQanoon does not train AI models on your submitted content without your explicit permission. PII is masked before review where applicable.

iQanoon performs validation, review, document creation, and general written advisory services. There is a material distinction between a legal opinion — a formal, matter-specific view given by a lawyer engaged on your specific matter — and the services that iQanoon provides, which are general in scope and not specific to your transaction, dispute, or circumstances.

Nothing in our work should be construed as a legal opinion on your specific transaction, circumstances, or dispute. Our work does not create a solicitor-client or lawyer-client relationship in respect of your specific matter, and is not a substitute for legal advice from a lawyer engaged on your matter.

You remain responsible for deciding whether to use, sign, file, or rely on any document we produce or review, and for the consequences of doing so. You should engage counsel qualified in your jurisdiction for any matter requiring full-matter legal advice, formal-proceedings representation, or a formal legal opinion.

Basis of liability.

To the maximum extent permitted by law, iQanoon excludes all warranties, conditions, and representations relating to our services, including any guarantee of a particular outcome. We exclude liability for ordinary negligence in connection with our services. Our liability arises only in respect of gross negligence or wilful misconduct, and only after a final, non-appealable court order to that effect has been obtained against us.

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profit, loss of business, loss of data, or any loss resulting from your reliance on our work in any specific transaction or proceeding.

Insurance.

You are strongly recommended to obtain and maintain professional indemnity, legal expense, or equivalent insurance in respect of your use of any document we produce or review. Because our services are general and not matter-specific (see §17), you should not rely on our work as a substitute for matter-specific legal advice or appropriate insurance cover.

You agree to indemnify and hold harmless iQanoon and iLegal Solutions Limited from and against any claims, losses, damages, liabilities, and expenses (including reasonable legal fees) arising out of or relating to: your breach of these terms (including your PII obligations under §12); your submission of content you are not authorised to share; the infringement of any third-party intellectual property right in the documents you submit; or your use of any document we produce or review.

You retain ownership of your submitted documents. Upon full payment, you own the deliverables we return to you. iQanoon retains all rights to its pre-existing methodologies, processes, precedent bank, platform content, and the iQanoon® trademark.

iQanoon is not liable for any delay or failure to perform its obligations caused by events beyond its reasonable control, including acts of God, network or infrastructure outages, failures of third-party providers, government actions, or other circumstances beyond reasonable control.

Severability. If any provision of these terms is found to be unenforceable, the remaining provisions remain in full force.

Entire agreement. These terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and iQanoon relating to the services and supersede any prior agreements.

Changes. We may update these terms from time to time. We will revise the “Last updated” date and notify you of material changes where required. Continued use of any service after a change constitutes acceptance.

Waiver & assignment. No failure or delay by iQanoon in enforcing any right is a waiver. You may not assign these terms without our written consent; we may assign them in connection with a corporate transaction.

iQanoon is powered by iLegal Solutions Limited, a legal consultancy firm registered under Innovation City, Ras Al Khaimah, UAE. These terms are governed by the laws of the UAE. Disputes are subject to the exclusive jurisdiction of the competent courts of Ras Al Khaimah, UAE.
